1. Acceptance of Terms
By accessing, browsing, or utilizing the services provided by Santhaipettai ("Santhaipettai.com", "we", "us", or "our"), having our principal office at 1-A, Rajamangalam 7th St, Villivakkam, Chennai - 600049, you acknowledge and agree to be bound by these Terms of Use and all associated trade policies. If you do not agree to these terms, you must refrain from using the platform.
2. Commercial Eligibility
Santhaipettai is a specialized Business-to-Business (B2B) trade platform. Access is restricted to legitimate legal entities, registered proprietorships, partnerships, LLPs, and private/public limited corporations possessing a valid Goods and Services Tax Identification Number (GSTIN) or relevant statutory trade registration under applicable Indian law.
3. Role as B2B Marketplace Intermediary
Santhaipettai acts as an electronic intermediary as defined under Section 2(1)(w) of the Information Technology Act, 2000. While we actively vet suppliers, verify GSTINs, and facilitate logistics coordination, the contract for purchase and supply of bulk goods is directly entered into between the Buyer and the respective verified Supplier.
4. RFQ Submissions, Quotations & Validity
When a Buyer posts a Request for Quotation (RFQ), they represent that the requirement is genuine. Quotations provided by suppliers remain valid for the period expressly stated therein (typically 48 to 72 hours), subject to raw material commodity market fluctuations, currency rates, and primary stock availability.
5. GST Invoicing & Tax Compliance
All orders dispatched through our network mandate genuine GST Tax Invoices and E-Way Bills in compliance with the Central Goods and Services Tax (CGST) Act, 2017. Both buyer and seller are obligated to maintain accurate reconciliation on the GSTN portal for Input Tax Credit (ITC) eligibility.
6. Delivery & Transit Risk
Consignments are transported through certified cargo transporters (PTL/FTL). Unless specifically agreed otherwise in writing, transit insurance is included to cover accidental loss or damage during transport up to the unloading destination.
7. Commercial Inspection & Claims
Buyers must inspect bulk consignments immediately upon delivery. Any outer package tampering, shortages, or patent defects must be marked on the carrier's Proof of Delivery (POD) and notified in writing to Santhaipettai within 24 hours of receipt.
8. Intellectual Property
All trademarks, logos, brand names, page headers, custom graphics, and software scripts associated with Santhaipettai.com are the exclusive intellectual property of Santhaipettai. Unauthorized copying, scraping, or redistribution is strictly prohibited.
9. Limitation of Liability
In no event shall Santhaipettai, its founders, directors, or representatives be liable for any indirect, consequential, exemplary, or punitive damages, including loss of business profit or production downtime, arising from platform usage.
10. Governing Law & Dispute Jurisdiction
These Terms of Use shall be construed and governed in accordance with the laws of the Republic of India. Any legal action, dispute, or arbitration arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts in Chennai, Tamil Nadu, India.
